Omi Health provides pet wellness products and digital services, including:
• Gut and blood biomarker testing kits for pets
• Personalized “Longevity Scores” and wellness insights for pets
• Access to an AI-powered, vet-backed concierge chat for pet health and wellness questions
• Ongoing wellness tracking and recommendations for pets

Omi Health does not provide veterinary medical advice, diagnosis, or treatment. 3. Accounts

Certain features of the Services require creating an account. You agree to provide accurate, current and complete information during registration and to keep your login credentials secure. You are responsible for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use or security breach.

4. Subscriptions, Payments & Renewals

Fees for memberships (for example, “Core”, “Complete”) and services are clearly listed on our website and app. We reserve the right to correct pricing errors and change fees from time to time. Subscriptions may automatically renew unless cancelled before the renewal date. By providing a payment method you authorize us to charge that method for any applicable fees, taxes, and charges associated with your subscription.

5. Test Kits: Orders, Returns & Refunds

Test kits are shipped to the address you provide. You are responsible for following all instructions for sample collection and return. Kits must be returned within the timeframes noted in the instructions to ensure accurate results. Unused and unopened kits are generally not eligible for refund or return. Used or opened kits are non-refundable. Subscription fees are non-refundable once services have begun.

6. Use of Results and Data

Your test results upload to your Omi app account. The results and wellness scores are provided for educational and informational purposes only; they should not be used in place of veterinary consultation. You acknowledge that biomarkers and wellness scores are interpretive tools and may not reflect all aspects of your pet’s health, breed-specific conditions, or individual circumstances.

7. Intellectual Property

All software, content, designs, trademarks, and materials provided by Omi Health are the exclusive property of Omi Health, Inc. You may not copy, modify, distribute, or create derivative works without our prior written permission.
If you upload or share content (such as photos, logs, notes about your pet) you represent that you have rights to such content, and you grant Omi Health a non-exclusive, worldwide, royalty-free license to use, copy, display, and distribute that content solely for the purpose of providing, maintaining, and improving the Services.

8. Suspension and Termination

We may suspend or terminate your access to the Services if you violate these Terms, misuse the Services, or as required by law. You may cancel your account at any time through your account settings or by contacting support. Upon termination, certain provisions of these Terms (such as indemnification and limitation of liability) will survive.

9. Indemnification

You agree to indemnify, defend, and hold harmless Omi Health, its affiliates, officers, directors, employees, agents and service providers from and against any and all claims, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Services or your violation of these Terms.

10. Limitation of Liability

To the fullest extent permitted by law, Omi Health shall not be liable to you for any indirect, incidental, special, consequential or punitive damages, including but not limited to lost profits, data, or goodwill, arising out of or relating to your use of the Services. Our total aggregate liability for any claim related to these Terms or the Services shall not exceed the amounts you have paid to us in the preceding 12 months, or one hundred US dollars (US$100), whichever is less.

11. Modifications to Services and Terms

We may modify, suspend, or discontinue parts or all of the Services at any time without notice or liability to you. We may also update these Terms from time to time. If we make material changes, we will provide notice (for example, via email or in-app). The updated Terms will be posted on our website with a new “Last Updated” date. Your continued use of the Services after changes means you accept the revised Terms.

By using the Services, you agree to receive service-related communications from us (for example, notifications about your account or test results). With your consent, we may also send promotional messages (which you may opt out of at any time via the unsubscribe link or account settings).

13. Governing Law & Dispute Resolution

These Terms and any disputes arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. You agree that the courts located in Delaware shall have exclusive jurisdiction over any legal proceedings arising out of or relating to these Terms or the Services.
